These Terms of Service (“Terms”) govern your participation in coaching services (“Services”) provided by Tia Brown Coaching (“we,” “us,” “our”).

By purchasing, accessing, or participating in any Services, you agree to be bound by these Terms.

1. Eligibility and Participation

You must be at least 18 years old and legally capable of entering into a binding agreement to participate in the Services. By enrolling, you confirm that all information you provide is accurate and complete.

2. Scope of Services

The Services may include, but are not limited to:

• 1:1 coaching
• Group coaching programs
• Live or recorded calls
• Educational materials, exercises, frameworks, and assignments
• Messaging or email support (where applicable)

The Services are coaching and educational in nature only and do not constitute medical, mental health, legal, or financial advice.

3. Client Responsibility

You acknowledge and agree that:

• You are solely responsible for your decisions, actions, and results
• Coaching is not therapy or counseling
• You are responsible for implementing insights and strategies provided
• Results depend on your effort, consistency, and external factors beyond our control

4. Fees and Payments

• All fees are stated in USD
• Payment is required in full or via an agreed-upon payment plan prior to participation
• Payments are processed via a third-party processor (e.g., Stripe)

All sales are final.
There are no refunds, partial refunds, or credits for unused time, missed calls, or early termination.

Attempting a chargeback or payment dispute constitutes a material breach of this agreement. In such cases, we reserve the right to suspend services, terminate access, and pursue collection of outstanding balances, administrative costs, and legal fees where permitted by law.

5. Missed Sessions and Expiration

• Coaching sessions not attended or canceled without proper notice may be forfeited
• Programs and access may expire after the stated program duration
• Extensions are not guaranteed and are granted at our sole discretion

6. Intellectual Property

All coaching materials, content, recordings, frameworks, templates, and methods are the exclusive intellectual property of Tia Brown Coaching.

You are granted a limited, non-exclusive, non-transferable license to use materials for personal use only.

You may not:

• Copy, distribute, sell, or share materials
• Record sessions without explicit written permission
• Teach or repurpose the materials commercially

7. Confidentiality

Both parties agree to maintain the confidentiality of private coaching discussions and shared personal information.

You agree not to disclose, reproduce, or share confidential coaching content, recordings, or group discussions involving other clients.

8. Prohibited Conduct

You agree not to:

• Disrupt coaching sessions or group spaces
• Harass, threaten, or harm others
• Misrepresent your identity or intentions
• Use coaching materials in bad faith or for competitive purposes

Violation may result in immediate termination without refund.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available.”
We make no guarantees regarding specific outcomes, income, personal transformation, or results.

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you for the Services

You voluntarily assume all risks associated with participation.

11. Indemnification

You agree to indemnify and hold harmless Tia Brown Coaching from any claims, damages, losses, or expenses arising from your participation, misuse of the Services, or violation of these Terms.

12. Termination

We reserve the right to terminate or suspend Services at our discretion for:

• Violation of these Terms
• Non-payment
• Misconduct or disruption

Termination does not relieve you of any outstanding payment obligations.

13. No Guarantees of Results

You acknowledge that coaching outcomes are not guaranteed. Testimonials or examples represent individual experiences and do not promise similar results.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

If unresolved, disputes shall be resolved through binding arbitration in New York, in accordance with the rules of the American Arbitration Association.

15. Changes to These Terms

We may update these Terms at any time. Continued participation in the Services constitutes acceptance of the revised Terms.
